End User License Agreement

The Font Software is licensed, not sold.

Motokiwo retains all copyright, intellectual-property and ownership rights in the Font Software except for rights expressly granted under this EULA.

Your purchase grants only the usage rights stated in the license selected in your order. No license transfers ownership of the Font Software.

Your order identifies the Font Software and license type purchased.

Motokiwo offers the following standard licenses:

• Desktop
• Web
• Studio
• ePub
• Digital Ad
• App / Game
• Broadcast
• Corporate

The License Guide may provide a simplified explanation of these licenses. If there is any conflict between the License Guide and this EULA, this EULA controls.

Rights not expressly granted are reserved by Motokiwo.

Unless expressly stated otherwise in your order, a paid Motokiwo license is perpetual.

There is no subscription or recurring license fee unless separately agreed in writing.

The perpetual license remains valid only while you comply with this EULA.

Authorized User

A person permitted to access and use the Font Software under the purchased license.

Static Artwork

Finished visual output in which the Font Software itself is not provided to the recipient and the recipient cannot use the Font Software to create new text.

Logo Project

One distinct logo, wordmark or brand-identity project for one identified brand or end client, including reasonable variations, lockups and adaptations belonging to that same identity.

Embedding

Incorporating, loading or supplying Font Software within a website, digital publication, advertisement, application, game or other product so that the Font Software performs or renders type within that product.

Supplier

A contractor, agency, developer, printer, production company or other third party performing work solely for the Licensee.

The Desktop License permits one individual Authorized User to install and use the Font Software on devices under that user’s control.

The Desktop License permits unlimited personal and commercial Static Artwork, including:

• print design;
• packaging and labels;
• posters;
• editorial design;
• presentations;
• physical merchandise;
• advertising graphics;
• static website graphics; and
• flattened digital artwork such as JPG, PNG or similar finished images.

Non-monetized social-media graphics are permitted.

Static advertising remains Desktop use where the Font Software itself is not embedded or loaded in the advertisement.

The Desktop License does not permit logos, wordmarks, trademarks, service marks, primary brand identities, monetized or sponsored social-media use, Web embedding, ePub embedding, Digital Ad embedding, App / Game embedding, Broadcast use, or redistribution of Font Software.

The Web License permits Font Software to be embedded as live text on one website or primary domain.

The license includes related subdomains, development environments, staging environments and equivalent non-public versions of the same website.

Font Software may be used through @font-face or equivalent browser technology.

There is no pageview or visitor limit.

A separate Web License is required for each unrelated website or domain.

The Licensee must take reasonable measures to prevent unauthorized direct downloading, hotlinking or reuse of the Font Software.

The Web License does not independently grant Desktop, Studio, ePub, Digital Ad, App / Game or Broadcast rights.

The Studio License permits up to ten Authorized Users within one studio, agency or business.

It includes unlimited personal and commercial Static Artwork, commercial, monetized and sponsored social-media artwork, and one Logo Project.

The Logo Project may include reasonable variations, lockups and adaptations belonging to the same identity.

Final artwork may be supplied to the applicable client. The Font Software itself may not be transferred to the client unless the client has an appropriate independent license.

Each additional unrelated Logo Project requires another Studio License unless the Licensee holds an applicable Corporate License.

The Studio License does not include Web, ePub, Digital Ad, App / Game or Broadcast rights.

The ePub License permits Font Software to be embedded in one electronic publication or title.

Permitted publications include eBooks, eMagazines, electronic journals and comparable electronic publications.

Different electronic formats of substantially the same title are covered by the same license. Revisions and updates of substantially the same title are also included.

There is no limit on legitimate copies, downloads or readers of the licensed title.

A separate unrelated publication requires another ePub License.

The ePub License does not permit editable templates, websites, Digital Ads, apps or games, server-generated documents, SaaS, font extraction or redistribution of Font Software.

A static PDF or similar finished document does not require an ePub License merely because it is distributed electronically, provided recipients do not receive functional access to the Font Software.

The Digital Ad License permits Font Software to be embedded or loaded in one identified digital advertising campaign.

Permitted uses include HTML5 advertisements, dynamic display advertising, interactive advertising and comparable digital advertising technology.

There is no impression limit for the licensed campaign.

A Supplier may access Font Software solely to create, produce or deliver the licensed campaign for the Licensee. The Supplier receives no independent license and must cease using the Font Software when its work for the licensed campaign ends.

Static advertisements delivered as flattened images do not require a Digital Ad License and instead require the applicable Desktop, Studio or Corporate rights.

The Digital Ad License does not permit normal website Web use, unrelated advertising campaigns, apps or games, electronic publications, reusable advertising templates, SaaS or redistribution of Font Software.

The App / Game License permits Font Software to be embedded in one identified application or game title.

Versions of substantially the same application or game across different operating systems, platforms or devices are considered the same licensed product.

There is no limit on legitimate users, installations or downloads of the licensed product.

The Licensee must use reasonable technical measures to prevent extraction of Font Software.

The App / Game License does not permit unrelated applications or games, public distribution of raw Font Software, distribution of Font Software in publicly accessible source code, SaaS, online design generators, customer-operated typesetting systems, or applications whose primary function gives end users independent functional access to the Font Software.

The Broadcast License permits Font Software to be used in one identified audiovisual production, series, channel or audiovisual advertising campaign.

Permitted uses include film, television, streaming content, online video, motion graphics, titles, credits, captions and audiovisual advertising.

There is no limit on legitimate viewers, broadcasts or streams of the licensed production.

The Font Software itself may not be distributed to viewers.

A rendered video advertisement is Broadcast use. An advertisement that technically embeds or loads Font Software to render live or dynamic text is Digital Ad use.

The Broadcast License does not permit unrelated productions, Web embedding, App / Game embedding, editable templates, SaaS or redistribution of Font Software.

Where a license expressly permits Supplier access, the Licensee may provide only the Font Software reasonably necessary for the Supplier’s authorized work.

The Licensee remains responsible for ensuring that the Supplier complies with this EULA.

Supplier access must end when the Supplier no longer requires the Font Software for the licensed project or company.

The Supplier must not retain or reuse Font Software for another client.

Unless Motokiwo gives prior written permission, no standard Motokiwo license permits:

• resale of Font Software;
• sublicensing of Font Software;
• redistribution of Font Software;
• making Font Software publicly downloadable;
• creation or distribution of derivative font software;
• conversion of Font Software for redistribution;
• SaaS or server-based customer typesetting;
• online design generators;
• customer-operated design tools providing functional font access;
• customer-personalization systems providing functional font access;
• OEM distribution;
• operating-system font distribution;
• general device-font distribution;
• editable templates that provide third parties with functional access to Font Software;
• AI or machine-learning training;
• AI fine-tuning;
• incorporation of Font Software into machine-learning models;
• use in font-generation datasets; or
• any use not expressly granted by the purchased license.

Technical ability to perform a use does not constitute permission for that use.

Except where expressly permitted for Supplier access or technical embedding, you may not sell, lend, share, sublicense, publish, upload, distribute or otherwise provide Font Software to another person.

A client receiving finished artwork does not automatically receive a license to the Font Software.

A third party requiring independent use of Font Software must obtain an appropriate license.

Where permitted by the applicable license, you may distribute finished artwork created using the Font Software.

Finished artwork may include rasterized graphics, outlined lettering, printed materials, finished video and comparable output that does not provide functional access to Font Software.

Distribution of finished artwork does not transfer ownership of Font Software.

You may modify the appearance of lettering within finished artwork.

You may convert lettering to outlines where necessary for permitted production.

You may not create, modify, rename, convert or distribute derivative Font Software without prior written permission from Motokiwo, except where applicable law requires otherwise.

You must not remove copyright, trademark or licensing notices from Font Software.

You may keep reasonable backup copies of Font Software solely for your own licensed use.

Backup copies remain subject to this EULA.

Fonts supplied free of charge, as trials or as promotional downloads remain protected by copyright.

A free download does not mean the Font Software is unrestricted.

If a separate license is supplied with a free or promotional font, that license controls.

Your purchase may include one or more file formats such as OTF, TTF, WOFF or WOFF2.

Receiving a particular file format does not itself grant permission for a particular use.

For example, receiving a WOFF file does not independently grant Web rights unless your purchased license includes Web use.

You are responsible for checking the product description, formats, character coverage, software requirements and technical compatibility before purchase.

Motokiwo does not guarantee compatibility with every application, operating system, device or workflow.

If Font Software is corrupt, incomplete or materially inconsistent with its product description, contact Motokiwo so the issue can be investigated.

Font Software is digital content.

Except where required by applicable law, Motokiwo does not voluntarily refund purchases because of change of mind, non-use, accidental purchase, incorrect license selection or compatibility issues disclosed before purchase.

Nothing in this EULA limits any refund, replacement, repair or other remedy required by mandatory law.

If you materially breach this EULA, Motokiwo may provide written notice describing the breach.

Where the breach can reasonably be corrected, you will normally have fourteen days from notice to cure the breach.

Deliberate redistribution, unlawful exploitation or a breach that cannot reasonably be remedied may result in immediate termination to the extent permitted by law.

When a license is terminated, you must stop new use of the affected Font Software and remove it from systems and Suppliers covered by the terminated license, except where retention is legally required.

Termination does not transfer ownership of Font Software.

Motokiwo may pursue remedies available under applicable law.

This EULA does not impose an automatic penalty multiplier.

This EULA applies prospectively to purchases made under Version 1.2.

A later EULA version does not retroactively reduce rights validly granted under an earlier Motokiwo license.

Fonts purchased through a third-party marketplace remain governed by the license supplied with that purchase unless Motokiwo expressly agrees otherwise in writing.

All Motokiwo licenses are non-exclusive unless Motokiwo expressly agrees otherwise in writing.

Purchasing a license does not prevent Motokiwo from licensing the same Font Software to other customers.

Motokiwo retains all copyright and intellectual-property rights in the Font Software.

No trademark rights in the Font Software or Motokiwo name are transferred.

The Licensee owns its own permitted finished artwork, subject to Motokiwo’s continuing ownership of the underlying Font Software.

You are responsible for selecting the correct license, keeping your use within the purchased scope, controlling access to Font Software, ensuring authorized Suppliers comply with this EULA, and obtaining any other rights required for your project.

To the extent permitted by law, Font Software is provided without warranties beyond those expressly stated by Motokiwo.

Motokiwo does not guarantee that Font Software will meet every particular design, technical or commercial requirement.

Nothing in this section excludes warranties or statutory guarantees that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Motokiwo is not liable for indirect, incidental, special or consequential losses arising from use of the Font Software.

Nothing in this EULA excludes or limits liability that cannot lawfully be excluded or limited.

Nothing in this EULA removes mandatory consumer rights, statutory guarantees or remedies that apply under applicable law.

Where a provision conflicts with a mandatory legal right, the mandatory right prevails only to the extent of that conflict.

This EULA is governed by the laws of Indonesia.

For consumers, this choice of law does not remove mandatory protections that apply under the laws of the consumer’s place of residence where those protections cannot lawfully be excluded.

If a dispute arises, contact Motokiwo first and provide your order information and details of the issue so the parties can attempt a practical resolution.

Nothing in this EULA prevents either party from using a competent court, regulator or statutory dispute-resolution procedure.

If any provision of this EULA is found invalid or unenforceable, the remaining provisions continue in effect to the fullest extent permitted by law.

Motokiwo may revise this EULA for future purchases.

Unless expressly agreed otherwise, revised terms do not retroactively reduce rights already granted under a previous valid license.

This EULA, together with the applicable order and any separate written agreement expressly accepted by Motokiwo, forms the agreement governing your use of the Font Software.

A separate written agreement signed or otherwise expressly accepted by Motokiwo may override this EULA only to the extent stated in that agreement.
